Terms & Conditions
Opus Audio Visual Ltd — effective 1 August 2025.
These terms and conditions govern the supply of goods and services by Opus Audio Visual Ltd (registered in England and Wales). By placing an order or engaging our services you agree to be bound by these terms.
1. Definitions
“Company” means Opus Audio Visual Ltd, 35–37 Parker Lane, Burnley, Lancashire BB11 2BY.
“Client” means any person, firm or company that purchases goods or services from the Company.
“Goods” means any audio-visual, sensory, lighting or associated equipment supplied by the Company.
“Services” means installation, commissioning, maintenance, repair or any other work carried out by the Company.
2. Quotations and orders
All quotations are valid for 30 days from the date of issue unless otherwise stated in writing. A contract is formed only when the Company issues a written order confirmation or commences work. The Company reserves the right to withdraw or amend a quotation at any time before acceptance.
3. Price and payment
All prices are exclusive of VAT unless stated otherwise. VAT will be charged at the rate applicable at the date of invoice. Payment is due within 30 days of the invoice date unless agreed otherwise in writing. The Company reserves the right to charge interest on overdue amounts at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
4. Supply of goods
Where goods are supplied, title in those goods remains with the Company until payment is received in full. Risk passes to the Client on delivery. The Company will not be liable for any loss or damage arising from delay in delivery beyond its reasonable control.
5. Installation and services
The Client is responsible for providing safe access to the site and ensuring that the site is ready for work to commence on the agreed date. Any delay caused by the Client may result in additional charges. The Company will carry out all work with reasonable skill and care, using qualified engineers.
6. Warranties
New goods supplied by the Company carry the manufacturer’s warranty. Labour and workmanship carried out by the Company is warranted for 12 months from the date of completion. Warranty claims do not apply to damage caused by misuse, modification, or failure to follow the Company’s instructions.
7. Limitation of liability
The Company’s total liability to the Client, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the total value of the order giving rise to the claim. The Company shall not be liable for any indirect or consequential losses, including loss of profit or revenue. Nothing in these terms limits the Company’s liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
8. Cancellation
Orders may not be cancelled by the Client without the Company’s written consent. Where cancellation is agreed, the Client shall reimburse the Company for all reasonable costs and expenses incurred up to the date of cancellation, including any restocking charges imposed by suppliers.
9. Hire of equipment
Where equipment is hired, a separate schedule of hire terms applies. The Client is responsible for the equipment from delivery to collection and shall indemnify the Company against any loss or damage during the hire period. Equipment must be returned clean and in the same condition as supplied.
10. Confidentiality
Both parties agree to keep confidential any information disclosed in connection with a project that is identified as confidential or that would reasonably be understood to be confidential.
11. Data protection
The Company processes personal data in accordance with its Privacy Policy and applicable data protection legislation including the UK GDPR and the Data Protection Act 2018.
12. Governing law
These terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
